TERMS AND CONDITIONS

1. These Terms and Conditions are between Eagle Private Ltd or any of its associate and subsidiary companies and the employer client (‘the client’).

2. The agreement between Eagle Private Ltd and the client shall be deemed to be accepted by and binding on the client as soon as the client accepts the Terms and Conditions as set out in this document.

3. Fees payable by the client are calculated by applying a flat rate of 30% of the first year’s anticipated basic salary.

4. The client shall be liable to pay a retainer fee of a third of the anticipated fee in advance. Work will not commence on a project until this payment has been made by the client. This retainer fee is not refundable under any circumstances.

5. The client shall be liable to pay the remainder of the fee in accordance with Clause 3 upon receipt of signed acceptance of offer. All fees are payable should the candidate accept the position or any other position within the company. If the client makes contact directly with an unsuccessful candidate that was originally introduced to the client by Eagle Private, within 12 months of completion or termination of the project, the flat rate as initially agreed in accordance with Clause 3 will apply.

6. Should any candidate personally introduce to the client another candidate for a further position within the company, Eagle Private Ltd reserve the right to apply a flat rate of 15% of the first year’s anticipated basic salary.

7. All reasonable efforts are made to ensure the suitability of each candidate introduced to the client by Eagle Private Ltd. Formal references are not obtained or verified and Eagle Private do not warrant the integrity, capability or qualification of the candidate. The client should satisfy himself in all such matters. The client is advised to establish the candidate has the necessary licences, authorities and work permits where applicable.

8. Should a successful candidate’s employment be terminated within 3 months of commencement,

Eagle Private Ltd will be liable to find and place another candidate for the same position at no additional cost provided that:

a) the full fee in respect of the placement has been paid in full within the seven day terms.

b) the employer has notified Eagle Private Ltd in writing, of the termination of employment within seven days thereof.

c) the employer, subsidiary or associated company shall not engage the person within twelve months of the date of termination of employment.

d) the termination is not due to redundancy or the liquidation, bankruptcy, dissolution, reorganisation of the employer.

9. All fees are subject to Value Added Tax at the standard rate.

10. This agreement shall not be varied in any way except in writing by the Directors of Eagle Private Ltd.

11. This agreement shall be interpreted in accordance with English Law and the parties agree to submit to the jurisdiction of the English Courts.
